7. Price Adjustment: The price shall be fixed, as specified in Exhibit A, for the initial contract
term. Should the contract renewal be exercised, the price shall not exceed the Flock Safety list
price for the hardware/equipment at the time of renewal.
8. Required Notifications. Contractor shall immediately notify the City in case of
emergency, injury to persons, or damage to equipment or property.
9. Independent Contractor. Contractor is an independent contractor, and its employees shall not
be classified as City employees and shall not claim nor receive any City employee benefits
(such as worker’s compensation, accident or health insurance, etc.).
10. Non-exclusive. This Contract is non-exclusive. City may contract with other entities for the
same or similar services without liability or obligation to Contractor.
11. Insurance. The Contractor shall maintain the required insurance coverages for the entire
duration of the contract, including all renewal periods, and shall provide notice of non-renewal
or cancellation in accordance with the requirements included in the RFP.
12. Amendments/Modifications. The parties may amend this Contract at any time, in writing,
by mutual agreement. The City Manager or their designee may execute such amendments on
behalf of the City.
13. Suspension or Termination. The City may terminate this Contract for cause as specified in the
RFP.
14. Notices. Notices required by this Contract shall be in writing and delivered via mail
(postage prepaid), commercial courier, or personal delivery or sent by facsimile or other
electronic means. Any notice delivered or sent as aforesaid shall be effective on the date of
delivery or sending. All notices and other written communications under this Contract shall be
addressed to the individuals below unless otherwise modified by subsequent written notice:
