access to such records from the effective date of this Agreement, for the duration of the
Agreement, and for five (5) years after the date of final payment by the City to the Contractor
pursuant to this Agreement or any renewal or extension of this Agreement. The City’s employees,
agents or authorized representatives shall have access to the Contractor’s facilities, shall have
access to all necessary records, and shall be provided adequate and appropriate work space, in
order to conduct audits.
31. Entire Agreement. The Agreement and any additional or supplementary documents
incorporated herein by reference contain all the terms and conditions agreed upon by the parties
hereto, and no other agreements, oral or otherwise, regarding the subject matter of this Agreement
or any part thereof shall have any validity or bind any of the parties hereto. This Agreement shall
not be modified, altered, changed or amended unless in writing and signed by the parties hereto.
32. Notices. Notices and communications related to this Agreement shall be in writing and delivered
via mail (postage prepaid), commercial courier, or personal delivery or sent by facsimile or other
electronic means (email). All notices related to Agreement award, modifications, renewals, and
terminations will be handled through the Office of Purchasing.
