(e) A second notice of redemption shall be sent by the same means as the first such notice not
later than 60 days after the redemption date to any Holder who shall not have presented for payment the
Bond or Bonds called for redemption within 30 days after such date.
(f) In the event the Bonds are called for redemption under circumstances resulting in discharge
of this Indenture under Section 9.02 hereof more than 90 days before the redemption date, additional official
and further notice of redemption satisfying the requirements of this Section shall be given not less than 30
or more than 60 days prior to such redemption date.
(g) Failure to give any official or further notice or any defect therein shall not affect the validity
of the proceedings for redemption of any Bond with respect to which no such failure or defect has occurred
or exists.
Redemption is conditioned on the Trustee鈥檚 possession and/or receipt of sufficient Available
Money for such redemption on or prior to the redemption date; if sufficient moneys are not available, the
redemption of the Bonds for which notice was given shall not be made. Any notice of the redemption of
Bonds may state that such notice is conditional and that if the conditions for redemption of such Bonds on
the scheduled redemption date are not satisfied (including the availability of funds sufficient to redeem such
Bonds), such Bonds will not be redeemed on such date and any Bonds tendered for payment on such date
will be returned to the Holders thereof. The cancellation of such redemption shall immediately be
confirmed in a subsequent notice given immediately in substantially the same manner as the original notice
of redemption.
Notice of redemption having been given as aforesaid, except as provided below, the principal
amount of the Bonds so to be redeemed shall become due and payable on the redemption date at the
redemption price specified, and on and after such date (unless the Issuer shall default in the payment of the
redemption price) such principal amount of the Bonds shall cease to bear interest. Upon surrender of any
such Bond for redemption in accordance with such notice, such Bond shall be paid at the redemption price
thereof to the extent that money is on deposit with the Registrar for that purpose. Neither the failure of a
Holder to receive such notice nor any defect in any notice shall affect the sufficiency of the proceedings for
such redemption. If any Bond called for redemption shall not be so paid on the redemption date upon
proper surrender of the Bond for redemption, the redemption price and, to the extent lawful, interest thereon
shall, until paid, bear interest from the redemption date at the rate borne by the Bond immediately before
the redemption date.
In the case of a redemption of the Bonds in part, the Trustee shall select the Bonds for redemption
from the Outstanding Bonds not previously called for redemption, by lot within a maturity; provided that,
notwithstanding any contrary provision hereof, if the Bonds are in Book-Entry Form at the time of such
redemption, the Trustee shall redeem such Bonds in accordance with any controlling procedures of the
Depository. In no event shall Bonds be redeemed in part in amounts other than whole multiples of
Authorized Denominations. For purposes of redeeming Bonds in denominations greater than minimum
Authorized Denominations, the Trustee shall assign to such Bonds a distinctive number for each such
principal amount and, in selecting Bonds for redemption by lot, shall treat such amounts as separate Bonds.
If any Bond is to be redeemed only in part, it shall be surrendered to the Registrar (with due
endorsement by, or a written instrument of transfer in form satisfactory to the Registrar duly executed by,
the Holder thereof or its attorney duly authorized in writing) and the appropriate officers of the Issuer shall
execute and the Registrar shall authenticate and deliver to the Holder of such Bond, without service charge,
a new Bond or Bonds of the same interest rate and of any Authorized Denomination or Denominations, as
requested by such Holder, in aggregate principal amount equal to and in exchange for the unredeemed
portion of the principal of the Bond surrendered.
