Borrower. If for any reason the Bonds are not issued, it is understood that all such expenses shall
be paid by the Borrower and that the Issuer shall have no responsibility therefor.
15. By submitting the Supplement to the Issuer, the Borrower has agreed to
indemnify and hold the Issuer harmless, its commissioners, officers, agents and employees from
and against all liabilities, obligations, claims, damages, penalties, losses, costs and expenses in
any way connected with the Project or the Bonds.
16. All other acts of the commissioners and officers of the Issuer in conformity with
the purposes and intent of this resolution and in furtherance of the issuance and sale of the Bonds
and the undertaking of the financing of the Project are hereby approved and confirmed.
17: The Authority hereby confirms the previous appointment of Williams Mullen, as
requested by the Borrower, to serve as Bond Counsel.
18. Any capitalized terms used in this Resolution which are not defined in this
Resolution shall have the meaning ascribed thereto in the Indenture.
L9. The provisions of this Resolution are hereby declared to be separable, and if any
section, phrase or provision of this resolution shall be declared invalid, such invalidity shall not
affect the validity of the remainder of the sections, phrases and provisions of this resolution.
20. This resolution is expressly conditioned upon the issuance by DHCD of a Bond
Allocation Certificate for the Bonds, in the amount of $24,000,000 of the State ceiling of
Volume Cap, which shall take effect immediately upon the Issuer鈥檚 receipt of a copy of such
Bond Allocation Certificate.
