Commissioner Bell moved that the minutes of the regular meeting of the Board of
Commissioners held on October 21, 2025, be approved. The motion was seconded
by Commissioner Knight and passed with a majority vote.
Ms. Shaw introduced Mr. Ronald Jackson, newly selected Deputy Executive Director,
to the Board. Mr. Jackson provided his professional background and experience in
housing and redevelopment.
The Board has been provided with copies of a resolution authorizing the Executive
Director to execute loan documents for Choice Neighborhood III-R, LLC. Further
authorization is needed to allow the Executive Director to execute documents for
permanent financing.
The approval of the attached resolution authorizes the Executive Director to execute
the loan documents and take such other actions in the furtherance of this resolution.
Approval of the attached resolution is recommended.
Commissioner Bell made a motion to approve the resolution. Commissioner Diggs
seconded the motion which passed with a unanimous vote. The resolution Is attached
to and made a part of these minutes.
The Board has been provided copies of the Financial Statements and Report of
Independent Auditor prepared by the accounting firm of CliftonLarsonAllen, LLP for
the Authority’s year ending December 31, 2024. This is an unmodified opinion for
both the financial statements and Federal awards, with no material weaknesses or
significant deficiencies identified in internal control over financial reporting. There
were four (4) material weaknesses primarily in Housing Choice Voucher program:
inspections, eligibility documentation, HQS enforcement. There were two (2)
programmatic findings related to inspections and waitlist documentation. The
Governmental Accounting Standards Board’s (GASB) upcoming implementations
were also discussed. Gaby Willer, a principal in the firm, was in attendance for a brief
presentation and to respond to any questions about the audit. Mr. Bell asked whether
these challenges were consistent with those faced by other Authorities, and Ms. Miller
confirmed that they were, noting that many housing authorities experience similar
issues related to staffing, inspections, and documentation. Ms. Miller also reported
that component unit reconciliations required significant additional work; differences
were ultimately immaterial but required improved internal alignment. The Executive
Director reported that additional resources were made available to assist with HCV
compliance and inspections including contracting out inspections.
The Board has been provided with copies of a resolution authorizing the Executive
Director to open a bank account at JP Morgan Chase for the Newport News
Redevelopment and Housing Authority to pay Cigna dental claims. Cigna requires
NNRHA to establish a demand deposit account also known as a CATALYST sub-
account with (“Catalyst Account”) JPMorgan Chase Bank, N.A. (the “Bank’), as part
of the company’s welfare benefit plan administered by Cigna (the “Plan”). The
Catalyst Account will be used by Cigna as the depository/funding account for the
payment of benefits under the plan.
Adoption of this resolution is recommended.
Commissioner Knight made a motion to approve the resolution. Commissioner Bell
seconded the motion which passed with a unanimous vote. The resolution is attached
to and made a part of these minutes.Jump to an indexed page (66 of 66)
