RESOLUTION NO. ______________
A RESOLUTION AUTHORIZING A GRANT OF FUNDS TO THE PORT WARWICK
FOUNDATION TO SUPPORT A FESTIVAL IN THE CITY OF NEWPORT NEWS.
WHEREAS, the Port Warwick Foundation (the “Foundation”) is a non-profit 501(c)(3) tax
exempt organization established for the purpose of organizing and managing arts and
entertainment events; and
WHEREAS, the Foundation provides services to residents of the City of Newport News,
Virginia (the “City”) through its programs, including its Summer Concert Series; and
WHEREAS, pursuant to Section 15.2-953(A) of the Code of Virginia, the City may make
appropriations of public funds to any charitable institution or association providing services to the
residents of the locality; and
WHEREAS, pursuant to Section 15.2-940 of the Code of Virginia, the City may expend
public funds for the purpose of promoting the resources and advantages of the City; and
WHEREAS, the City desires to support the Foundation in its efforts to provide arts and
entertainment within Newport News, specifically by providing financial support for an event being
planned for Memorial Day Weekend, 2026 (the “Event”); and
WHEREAS, the City Council desires to provide a grant of THREE MILLION AND
THIRTY THOUSAND DOLLARS ($3,030,000.00) to the Port Warwick Foundation in support
of the Event, subject to certain terms and conditions.
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Newport News,
Virginia:
1. That it hereby authorizes and directs the City Manager to execute and the City Clerk
to attest, on behalf of the City of Newport News, Virginia, an Agreement by and between the City
of Newport News, Virginia and the Port Warwick Foundation which substantially conforms to the
terms of the draft agreement attached hereto and made a part hereof.
2. That it hereby authorizes and directs the City Manager to execute and the City Clerk
to attest, on behalf of the City of Newport News, Virginia, any and all additional documents as
may be necessary to effectuate the grant set forth herein, subject to the review and approval of
such documents by the City Attorney as to form and legality.
3. That this resolution shall be in effect on and after the date of its adoption, December
9, 2025.
