James River Flats refinancing and affordability safeguards

Compare the proposed refinancing’s affordability and enforcement terms with the original recorded restrictions and final replacement documents.

Overview

Follow the October 20, 2026 NNRHA proposal for refinancing and rehabilitation of the development staff describes as 100 units. Establish which restrictions cover which units, for how long, and with what enforcement or survival terms. The posted draft is not an adopted or executed agreement.

Source notes

No October 20 action, executed agreement, foreclosure, termination, displacement, rent increase or affordability loss is established. Staff’s similarity statement is not a verified term-by-term comparison. The original declaration and replacement instruments remain unavailable in the reviewed sources. Separate current HUD/HAP or LIHTC coverage is not asserted. This is a reading of a proposal, not a legal conclusion about enforceability. Tenant identities and individual financial information are excluded.

Timeline

Dates follow the cited records; document dates are labeled separately.

  1. December 1, 2013 · retrospective description

2026 proposal identifies the original bonds and declaration

The proposed resolution identifies bonds dated December 1, 2013 with an original principal of $6,725,000 and a restrictive declaration of the same date recorded as instrument 130021891. These are retrospective statements in the 2026 packet. The original declaration was not obtained; the original principal does not establish either the current balance or the new loan amount, and the 100-unit project description does not establish how many units every covenant covers.

  2. October 20, 2026 · scheduled consideration

    Staff proposes refinancing for rehabilitation

The staff memorandum recommends authorizing the Executive Director to execute subordination and related documents. It identifies Standard James River Owner as the owner planning to pay off the old bonds and obtain rehabilitation financing, and says new financing will have similar affordability restrictions. The draft identifies Berkeley Point Capital LLC, doing business as Newmark, as proposed senior lender; the loan amount and agreement date are blank. Reviewed October 17, this material does not establish a Board vote, execution, closing or completed renovation.

  3. October 17, 2026 · review of posted draft

Draft includes both conditional termination and limited enforcement

Section 4(a) subordinates the existing declaration and provides for termination when a defined successor owner takes title, subject to section 7(c), unless the lender directs otherwise. Section 6(b) preserves specific-performance or injunctive enforcement of rent, income, occupancy and social-services restrictions during the standstill. Section 7(c) qualifies the treatment of restrictions not terminated or surviving by law or court order. These are conditional draft terms, not proof of present removal of restrictions or a complete enforcement waiver. Without the original and replacement instruments, equivalence, weakening or extension of affordability protections cannot be established.
